Afrokids Discovery App - Terms of Use

Welcome to the Afrokids Discovery App (the “App”), a platform operated by Afrokids Ltd. (“Afrokids,” “we,” “us,” or “our”) where entertainment industry talents and skilled professionals can showcase, promote, and monetize their content, connect with employers, and participate in a vibrant community. By accessing or using the App, you agree to the following Terms of Use. Please read these terms carefully, as they outline your rights and obligations while using the App.

1. Acceptance of Terms

By registering for or using the App, you agree to be bound by these Terms of Use and our Privacy Policy, incorporated herein by reference. If you do not agree to these terms, do not use the App.

2. Eligibility

To use the App, you must be at least 18 years old or have parental consent if you are under 18. By using the App, you confirm that you meet this age requirement.

3. Account Registration and Security

• Account Information: You agree to provide accurate, complete, and updated information during registration. You are responsible for maintaining the confidentiality of your account details and are solely responsible for any activity that occurs under your account.
• Security: Notify us immediately of any unauthorized use of your account. Afrokids will not be liable for any loss or damage arising from unauthorized use of your account.

4. User Conduct

• Content Standards: Users are responsible for all content they upload, post, or otherwise make available through the App. Content that is illegal, harmful, defamatory, obscene, abusive, threatening, or infringing on the rights of others is strictly prohibited.
• Respectful Engagement: Users must engage respectfully with other users, and harassment, bullying, or any form of abuse will not be tolerated.
• Prohibited Actions: You agree not to upload or share malicious software, impersonate others, harvest personal data, or engage in any activity that disrupts the App’s functionality.

5. Content Ownership and Licensing

• User Content: By uploading content to the App, you grant Afrokids a worldwide, royalty-free, non-exclusive license to use, display, reproduce, and distribute your content within the App to provide the services offered.
• Content Responsibility: Afrokids does not endorse or take responsibility for any user-generated content. Users retain full responsibility for their content and its legal implications.

6. Monetization and Payments

• Monetization: Eligible users can monetize their content through ad revenue, subscriptions, and other payment features provided in the App. Afrokids will pay out revenue as per the payment terms in your account settings.
• Hiring Payments: All talent recruitment payments must be made exclusively through the App. Afrokids is not responsible for payments made outside of the platform, and failure to comply may result in a ban.
• Subscription Content: Verified talents can charge for premium content. Afrokids may take a service fee for transactions facilitated within the App.

7. Points and Reward System

• Points Accumulation: Users can accumulate points based on engagement and activity within the App. Points may be redeemed for perks or featured placements, as determined by Afrokids.
• Misuse of Points System: Any attempts to manipulate the points system, including through fake engagement or violating community guidelines, may result in points deductions or account suspension.

8. Intellectual Property Rights

• Afrokids Content: The App’s design, layout, and features are the property of Afrokids and are protected by copyright and other intellectual property laws. You may not copy, modify, or distribute any Afrokids content without prior written permission.
• Trademarks: Afrokids’s name, logo, and brand elements are trademarks of Afrokids Ltd. You are prohibited from using these trademarks without permission.

9. Third-Party Links and Services

The App may contain links to third-party websites, services, or advertisements. Afrokids does not endorse or assume responsibility for these third-party services. Users should review terms and conditions for each third-party service they access.

10. Termination of Service

• User Termination: Afrokids reserves the right to suspend, terminate, or restrict your account or access to the App at any time, for any reason, including, but not limited to, violations of these Terms of Use.
• User Data Post-Termination: Afrokids may retain and use user data as required to comply with legal obligations or enforce these terms, even after termination of your account.

11. Limitation of Liability

Afrokids, its affiliates, directors, employees, or partners shall not be liable for any indirect, incidental, or consequential damages, including lost profits or data, resulting from the use or inability to use the App, even if Afrokids has been advised of such damages.

12. Disclaimer of Warranties

The App and its content are provided "as-is," and Afrokids disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Indemnification

You agree to indemnify and hold Afrokids harmless from any claims, liabilities, damages, losses, or expenses arising from your use of the App, your violation of these Terms, or your violation of any rights of another user.

14. Changes to Terms

Afrokids may modify these Terms of Use at any time. You will be notified of any changes, and continued use of the App constitutes acceptance of the updated Terms.

15. Governing Law

These Terms of Use are governed by the laws of Federal Republic of Nigeria and South Africa. Any disputes arising out of or related to these Terms or the App shall be resolved exclusively in the courts within African countries jurisdiction.
